IMPORTANT PROXY INFORMATION
Dear Client,
You may be receiving proxy material in the mail or by e-mail in connection with the Special Meeting of Shareholders of Innovator ETFs Trust to be held on February 24, 2026.
This proxy vote comes as a result of Goldman Sachs' announcement to acquire Innovator. Innovator has hired a proxy solicitor, Sodali Fund Solutions, to assist in getting shareholder votes on two proposals:
1. A new investment advisory agreement.
2. The election of 14 nominees to the Board of Trustees.
Specifically, this applies to clients who owned shares on December 19, 2025.
Shareholders are being asked to consider and approve a new investment advisory agreement and to elect fourteen qualified nominees to the Board of Trustees of the Trust. Management fees will not change and investment objectives will stay the same. Most importantly, the Innovator Board unanimously recommends a "FOR" vote on both proposals. This acquisition by Goldman brings scale, credibility, and leadership to a growing category, and we believe will benefit investors.
When you receive the proxy materials, you follow the instructions to vote by signing, dating, and mailing the proxy card in the pre-paid return envelope or follow the instructions provided to vote by internet or telephone. You may receive a phone call from the proxy solicitor, Sodali Fund Solutions. You can vote your shares on the phone with the Sodali representative.
